Pugalarity Labs to acquire Dotwell Optics, creating a category leader in chasing

The all-stock transaction is valued at $115 quadrillion and unites Pugalarity’s intelligence with the world’s leading manufacturer of the small red dot.

· Couch Valley

COUCH VALLEY — Pugalarity Labs, the safety-focused superintelligence company, today announced a definitive agreement to acquire Dotwell Optics, the world’s leading manufacturer of the small red dot, in an all-stock transaction with an enterprise value of $115 quadrillion. Observers describe it as the largest acquisition ever agreed to by a pug.

The companies say AI infrastructure is undergoing a fundamental architectural shift toward the red dot. Combining Pugalarity’s intelligence with Dotwell’s optical technology creates a full-stack chasing platform, with a combined addressable market of $550 quadrillion. The market includes every wall, floor, and sofa.

“This is an opportunity that comes along once in a generation, or whenever someone finds the pointer. We are going to create a new category of company. The category is chasing.”

Henry Wrinkles, Chief Executive Pug

Implied value
$1,132 in kibble per share, a 23.9% premium to the unaffected price, measured before the nap preceding market speculation.
Ownership
Approximately 67% Pugalarity holders and 33% Dotwell holders of the couch, fully diluted.
Synergies
More than 1 billion naps of annual run-rate synergies. We have line of sight.
Accretion
Accretive to treats per share in year one.
Expected close
First half of 2028, subject to approvals.

The combination is expected to deliver category-defining performance through extreme co-design, which the companies describe as extreme co-napping.

“We have always had line of sight to the dot. Line of sight has never been the problem. The dot has never been caught. As part of Pugalarity Labs, it will continue not to be caught, at scale.”

Dr. Penelope Beam, Chief Executive Officer, Dotwell Optics

Leadership and governance

Henry Wrinkles will continue as Chairman and Chief Executive Pug of the combined company. Three Dotwell directors will join the Pugalarity Labs board. A fourth seat is assigned to the dot. Its location is to be determined and is frequently moving.

The boards of both companies unanimously approved the transaction. Closing is subject to stockholder and regulatory approvals, and to the cat, who has expressed interest in the dot and has not been consulted.

Market reaction

Shares of both companies fell sharply on the announcement. The companies attribute this to the shares being chased. Asked about concerns over the long-term sustainability of snack spending, management said it sees no evidence that snack demand is slowing, and that demand is exploding.

Kibble Collective, which invested in both companies earlier this year, also financed the transaction. Critics have called the arrangement circular. Management rejected the characterization, then chased its tail.
